Salesforce\u2019s recent\u00a0$11 billion\u00a0bid for\u00a0Informatica\u00a0might have fallen apart, but the fact that Salesforce even considered this move is\u00a0truly noteworthy. It speaks to the critical importance of data in today\u2019s business world.\u00a0It\u2019s\u00a0the lifeblood of organizations today and yet, too often, it\u00a0remains\u00a0distressingly overlooked. And yet, it is the thing that can\u00a0make or break\u00a0your company\u00a0where\u00a0mergers,\u00a0acquisitions\u00a0and\u00a0divestitures\u00a0(MA&D)\u00a0activity\u00a0is concerned. Today, every business challenge is a data challenge.<\/span>\u00a0<\/span><\/p>\n

For leaders who may be looking at one of these events\u00a0soon,\u00a0there\u2019s\u00a0no better time to take a closer look at your organization\u2019s data.\u00a0Data has always been foundational to the success\u00a0of MA&D, from due diligence to synchronizing data sets to finding financial\u00a0<\/span>synergies.\u00a0In fact,\u00a0data\u00a0can be an\u00a0important\u00a0competitive differentiator\u00a0<\/span>\u2013 and you\u00a0don\u2019t\u00a0want a deal to die because your data or that of the acquiree is bad. But\u00a0that\u2019s\u00a0what can happen when companies\u00a0don\u2019t\u00a0pay attention to the\u00a0quality of the data\u00a0they\u2019re\u00a0acquiring.<\/span>\u00a0<\/span><\/p>\n

In parallel,\u00a0high-quality data creates advantages like negotiating better terms, finding\u00a0synergies\u00a0or improving visibility into acquisition targets.\u00a0The bottom line?\u00a0Evaluating data quality has to start early on.<\/span><\/p>\n

Data<\/strong><\/span>\u00a0= Time to\u00a0<\/strong><\/span>V<\/strong><\/span>alue<\/strong><\/span><\/span>\u00a0<\/strong><\/span><\/h3>\n

Due diligence\u00a0for an MA&D event\u00a0must include\u00a0determining\u00a0how\u00a0aligned\u00a0each company\u2019s data is. Begin by understanding what data\u00a0you need to\u00a0operate\u00a0your acquisition or, if\u00a0you’re\u00a0the seller, which data you need to provision and share.\u00a0A typical error is to think that\u00a0you’re\u00a0simply transporting data from one location to another.\u00a0But actually, your\u00a0goal is to get value from that data as soon as you can.<\/span><\/p>\n

Changing your residence is a useful metaphor here. You\u00a0don\u2019t\u00a0indiscriminately throw things in boxes; you sort what you own and\u00a0take with you only\u00a0what\u2019s\u00a0still of value to you. Then you make a plan\u00a0for what\u00a0how to move those valuable items. Without the steps, you will waste time, energy and money moving things you\u00a0don’t\u00a0want or\u00a0can’t\u00a0use. In the same vein, your data migration needs up-front attention and planning to be successful.<\/span><\/p>\n

It’s\u00a0also important to ensure that the seller\u2019s proprietary data\u00a0doesn’t\u00a0get shared unless\u00a0it\u2019s\u00a0an aspect of the divestiture.\u00a0The buyer wants everything necessary to run the business.\u00a0Oftentimes,\u00a0there\u2019s\u00a0a transitional service agreement (TSA) in place whereby the seller gets paid\u00a0to run\u00a0parts of the business (such as certain divisions,\u00a0departments\u00a0or systems)\u00a0until the acquirer can do it. That\u00a0impacts\u00a0the time\u00a0to\u00a0value, which means the clock is ticking.<\/span><\/p>\n

Data\u00a0Complexity and\u00a0Its\u00a0Challenges<\/strong><\/span>\u00a0<\/strong><\/span><\/h3>\n

How complex the selling and\u00a0acquiring\u00a0companies are\u00a0determines\u00a0the complexity of the data. This is true not only in terms of volume but also the various kinds of data,\u00a0possibly stored\u00a0in\u00a0different places\u00a0and\/or formats. That often creates load validation or deduplication challenges.\u00a0Then there is the possibility of legal issues such as competitive sensitivity and individual data privacy.\u00a0All these elements make data management more difficult than it initially seemed.\u00a0If\u00a0you’ve\u00a0got a global integration across markets, the data\u00a0challenge hits especially hard.<\/span>\u00a0<\/span><\/p>\n

The first step in uniting or segregating back-end business systems is migrating data from one or more systems to a new system.\u00a0On occasion,\u00a0there’s\u00a0a second phase in which the acquirer takes\u00a0over and integrates\u00a0systems with their main systems and processes.\u00a0This convergence requires two more steps: deduplication and the standardization of both the business processes and the data needed to support them.<\/span>\u00a0<\/span><\/p>\n

Converging two separate business systems, each with its own data language, is difficult. So is divesting part of a business and integrating it into a different company. These actions are complex by default, but imagine the added pressure of a public\u00a0<\/span>MA&D and the insistence\u00a0by\u00a0both parties to quickly finish the transaction and begin adding value.<\/span>\u00a0<\/span><\/p>\n

Start with<\/strong><\/span>\u00a0Data Management\u00a0<\/strong><\/span><\/span>\u00a0<\/span><\/h3>\n

It should be clear by now that data cannot be an afterthought in the MA&D process.\u00a0<\/span>Data management must be the central focus from the start if you hope for a rapid time to value. High-quality data<\/span>\u00a0produces the advantages noted earlier, and bad data and\/or bad data management produce serious challenges \u2013 so serious that they can slow down or even ruin a deal.\u00a0<\/span>Putting data first will put you on\u00a0<\/span>the narrow path to success.<\/span><\/span>\u00a0<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"
